Upon assignment by the Kentucky Historical Society, the Offeror shall provide legal services on an as-needed basis. Services may include providing legal advice, consultation, and recommendations regarding KHS operations, statutory authority, policies, administrative matters, and compliance with applicable laws; attending meetings of the KHS Governing Board, Annual Meeting, committees, commissions, or other KHS meetings; reviewing, revising, drafting, and negotiating contracts and other legal documents; providing legal counsel regarding KHS operations including employment matters, finances, ethics, records retention, the Kentucky Open Records Act, the Kentucky Open Meetings Act, grant compliance, accessibility requirements, guidance on legislative matters or drafting regulations; providing legal representation on behalf of KHS and its staff in civil and administrative litigation and other legal proceedings; and performing such other legal services as may be requested by KHS and mutually agreed upon.
