What the bond actually guarantees

Michigan administers adviser registration through LARA’s Corporations, Securities & Commercial Licensing Bureau under the Michigan Uniform Securities Act (2002). MCL 451.2411(5) authorizes a rule or order requiring an investment adviser that has custody of or discretionary authority over client funds or securities to post a bond, and Mich. Admin. Code R 451.4.14 exercises that authority — every such adviser must be bonded in an amount the administrator determines.

It is a three-party arrangement: you (the principal), the surety carrier, and the State of Michigan (the obligee), with your advisory clients as the protected parties. The bond stands behind your compliance with the act — the custody, disclosure, and fiduciary-conduct rules that protect the people whose money you hold or direct.

It is not insurance for you — if the surety pays a claim, you repay the surety. Michigan adviser registrations run on the calendar year and expire December 31, so the bond has to stay continuously on file; we track the term and send renewal notices 60 and 30 days out.

Mich. Admin. Code R 451.4.14Rule 4.14(2)(a) requires every investment adviser registered or required to be registered under the act, having custody of or discretionary authority over client funds or securities, to be bonded in an amount determined by the administrator based on the number of clients and total assets under management. Rule 4.14(2)(b) adds that an adviser who does not meet the minimum net worth standard in R 451.4.17 must be bonded in the amount of the net worth deficiency, rounded up to the nearest $5,000.00. Rule 4.14(3) exempts an adviser whose principal place of business is outside Michigan if it is registered there and in compliance with that state’s bonding requirements. The authority is MCL 451.2411(5).
